General conditions of sale of the company GP One Sarl Crissier
Any order/sale implies acceptance of the general conditions of sale (GCS) mentioned below.
The company GP One Sarl does not sell directly but only through the network of professionals. Catalogues, website, e-shop, etc. are made available to the public for information purposes only and to encourage them to order parts from our resellers.
Delivery
Delivery time specifications are given to the best of our judgment, but are not binding. In the event of late delivery, the order can only be canceled with the agreement of GP One Sarl. If there is a written agreement regarding the delivery date, we will make every effort to meet this date. If it is not possible to meet the agreed date, we will inform you immediately in order to agree on a new date or cancel the order. The customer will not be able to assert any claim for compensation in the event of late delivery or non-delivery.
Reservation of ownership clause
The company GP One Sarl reserves the right of ownership of the goods delivered until full payment of all supplies due at the end of the order. To claim to benefit from this clause, it will be sufficient for the seller to make known his formal wish to have the goods returned by a simple registered letter addressed to the buyer. It is nevertheless expressly specified that, unless the guarantee clause provided for below applies, the buyer will be responsible for the goods placed in his hands as soon as they are physically delivered, the transfer of possession entailing the transfer of risks. The buyer must therefore take all measures and, where applicable, all insurance to compensate for the possible destruction, partial or total, of the goods whatever their origin.
Returns
No goods can be returned without the prior agreement of the company GP One Sarl. Any accepted return of goods must be made within a maximum period of 8 working days, accompanied by the "Return of goods" form, and can only be made for new goods without assembly marks, in their original packaging. having suffered no deterioration. After this period, no returns will be accepted. Specially ordered parts are neither returned nor exchanged. Electrical parts are neither returned nor exchanged. The recovery price may in no case be higher than the price invoiced to the customer, less shipping costs. This recovery price will only be due to the customer in the form of a credit note to be used on a future order, under no circumstances will it be refunded.
Billing / Payment
Unless otherwise agreed in writing by the company GP One Sarl, delivery is made against payment in advance. An agreement concluded between the company GP One Sarl and the customer for the shipment of goods with invoice payable net within 30 days, requires prior written and unreserved acceptance of the general conditions of sale (GCS). Payment must be made net and without discount. In the event of late payment on any due date and without the prior agreement of the company GP One Sarl, the account will immediately go to prepayment, and reminder fees will be invoiced at the rate of CHF 10.- for the first reminder and CHF 20.- for the second reminder. Other costs, in particular the costs of any debt recovery procedures, will also be charged, as well as the legal interest in force.
Price
Except exceptions, all our prices are in Swiss francs and are inclusive of VAT. The company GP One Sarl reserves the right to modify its prices at any time, without prior notice, in particular depending on possible currency fluctuations and import costs, or a change in purchase price from the supplier. It is the invoiced price that is binding.
Claim
The buyer is required to check the goods at the time of delivery, he must inform the company GP One Sarl of the reservations he intends to make regarding the condition of the goods received (non-conformity of the goods delivered with those ordered, manufacturing defects, etc.) Except in the event of a hidden defect, no complaint will be taken into consideration after 8 days after receipt of the goods by the buyer.
Guarantee
The duration of the warranty is governed by the manufacturer's warranty conditions, from the date of purchase from GP One Sarl. The warranty is limited to repair or exchange according to the decision taken on a case-by-case basis, after consultation with the manufacturer, without any other compensation being claimed. The cases of warranty exclusion are: use in competition, non-compliance with the assembly instructions, inappropriate use, incorrect assembly or maintenance. For any warranty request, before returning the defective part, the customer must send by email to the company GP One Sarl, the correctly completed “Guarantee Request” form, with explanations and photos if necessary. After validation by the company GP One Sarl, the part in question can be returned.
Invalidity of a clause
If one of the clauses of these general conditions of sale should be void or canceled, the other clauses would not be canceled and would continue to apply.
Legal Forum
In the event of disputes, the court of Lausanne is the place of jurisdiction.
